These Terms of Service ("Terms") govern your access to and use of the Regulars platform, including our website, mobile applications, and associated services (collectively, the "Service"). By accessing, creating an account, or using the Service in any manner, you agree to be bound by these Terms. If you do not accept these Terms in their entirety, you must immediately cease use of the Service. Regulars Inc. ("Company," "we," "us," or "our") reserves the right to modify these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of the updated Terms.
Regulars is a loyalty and customer engagement platform designed for businesses to build and manage customer loyalty programs. The Service enables businesses to track customer check-ins, manage rewards points, offer promotional incentives, and analyze customer engagement data through integration with point-of-sale systems such as Square. Regulars provides tools for customer retention, business analytics, and loyalty program management.
To access Regulars, you must register for an account and provide accurate, complete, and current information. You must be at least 18 years of age or the legal age of majority in your jurisdiction to create an account. Business accounts must be created by authorized representatives of the business. You are responsible for maintaining the confidentiality of your account credentials and are liable for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. Regulars reserves the right to suspend or terminate accounts that violate these Terms or engage in prohibited conduct.
Regulars offers subscription plans on a monthly basis. Pricing for active subscription plans is as follows:
Starter Plan: $99/month
Ideal for small businesses with basic loyalty program needs. Includes check-in tracking, basic rewards management, and up to 5,000 customer records.
Pro Plan: $249/month
Designed for growing businesses requiring advanced analytics, multi-location support, advanced reporting, and up to 50,000 customer records.
New Regulars accounts are eligible for a six-month free trial period. During the trial, you have full access to the Starter Plan features at no cost. After the six-month trial concludes, your account will automatically convert to a paid subscription at the then-current market rate for the Starter Plan unless you cancel your account or upgrade to the Pro Plan. Trial access is limited to one trial account per business and cannot be combined with promotional offers. Regulars reserves the right to modify or discontinue trial offers at any time.
All subscription fees are charged monthly in advance. Payment is due on the same date each month as your account creation date. We accept all major payment methods, including credit cards and bank transfers. Failed payments may result in service suspension. If payment fails, you will receive notice and an opportunity to update your payment method within seven days. Continued failure to pay may result in account termination and data deletion in accordance with our data retention policies.
Subscriptions are non-refundable once payment is processed. If you cancel your subscription, access will be terminated at the end of the current billing cycle. No refund will be issued for partial months of unused service. During your free trial, you may cancel at any time without penalty.
Regulars may modify pricing with thirty days' notice. You will be notified via email of any price increases. If you do not accept the new pricing, you may cancel your account before the new price takes effect.
You agree not to use the Service for any unlawful purpose or in violation of these Terms. Specifically, you agree not to:
Upload or transmit viruses, malware, or other harmful code. Engage in any form of hacking, unauthorized access, or cybersecurity violations. Harass, threaten, defame, or harm other users or third parties. Violate intellectual property rights, including trademarks, copyrights, or patents. Collect or harvest personal information of others without consent. Spam, send unsolicited communications, or engage in phishing activities. Use the Service to violate applicable laws or regulations. Attempt to access restricted areas or features without authorization. Resell, redistribute, or commercially exploit the Service without permission. Interfere with the normal operation of the Service through overloading, denial-of-service attacks, or other disruptive means.
All content, features, functionality, software, and design of the Regulars platform, including but not limited to text, graphics, logos, icons, images, audio clips, and video clips, are the exclusive property of Regulars Inc. or our content providers and are protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, revocable license to use the Service solely for your internal business purposes. This license does not grant you the right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or transfer any content. Any unauthorized use of the Service's intellectual property is strictly prohibited.
To the extent you generate, upload, or provide content through the Service (such as business descriptions, promotional messages, or customer communications), you retain ownership of such content. However, you grant Regulars a worldwide, non-exclusive, royalty-free, perpetual license to use, modify, reproduce, and display such content for the purpose of operating and improving the Service. You warrant that you own or have the right to grant such licenses and that your content does not violate any third-party rights or applicable laws.
Your integration of Regulars with third-party services, such as Square POS, is subject to the terms and privacy policies of those third parties. Regulars is not responsible for the security, functionality, or availability of third-party services. You are responsible for maintaining the security of API keys, access tokens, and other integration credentials. Unauthorized sharing of integration credentials may result in unauthorized access to your business data.
To the fullest extent permitted by law, in no event shall Regulars Inc., its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or reputation, even if advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Service is to cease use and cancel your account. Some jurisdictions do not permit the limitation or exclusion of liability for consequential or incidental damages, so the above limitations may not apply to you.
The Service is provided on an "as-is" and "as-available" basis. Regulars makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information. Regulars does not warrant that the Service will be uninterrupted, error-free, or secure. Use of the Service is at your own risk.
You agree to indemnify, defend, and hold harmless Regulars Inc., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of applicable law, or your infringement of any third-party rights.
Regulars may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service immediately ceases. You remain liable for all charges accrued up to the date of termination. Regulars may delete your account and associated data according to our data retention policies following account termination.
These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Montreal, Quebec, for the resolution of any disputes arising from these Terms or your use of the Service.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
These Terms, along with our Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and Regulars regarding the Service and supersede all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral.
